Terms of Service — Velo: Wholesale & Net Terms

1. Acceptance of Terms & Usage Rules

By installing or using the Velo: Wholesale & Net Terms (“the App”), you (“the Merchant”) agree to be bound by these Terms of Service and all applicable Shopify Partner and App Store policies. The App is licensed on a non-exclusive, revocable Software-as-a-Service (SaaS) basis to automate B2B customer onboarding, tiered wholesale pricing, custom SKU price lists, quick order pads, and Net Terms draft order workflows on your authorized Shopify store.

2. Subscriptions, Pricing & Cancellation via Shopify Billing API

• Native Shopify Billing: All recurring subscription charges (Starter Tier at $29/month, Growth B2B at $69/month, and Enterprise Wholesale at $149/month) are processed exclusively through the official Shopify GraphQL Billing API (appSubscriptionCreate). We never collect or store raw credit card numbers outside of Shopify.
• 14-Day Free Trial: New merchant subscriptions include a 14-day trial period as specified in the Admin Billing Plan selector before recurring charges commence on your Shopify invoice.
• Instant Cancellation: Merchants may downgrade or cancel their subscription at any time directly inside the App's Billing & Subscription tab (via appSubscriptionCancel) or by uninstalling the App from their Shopify Admin. Uninstalling the App automatically terminates active Shopify billing cycles with prorated credit handled according to Shopify's standard billing policies.

3. Compliance with Shopify Ecosystem Rules

The App operates strictly within Shopify's Online Store 2.0 Theme App Extension framework and Admin GraphQL API rate limits. The App does not modify theme template code directly, leaves zero orphaned liquid files upon uninstallation, and requires merchants to comply with Shopify's Acceptable Use Policy when vetting B2B buyers, issuing tax exemptions, or extending Net 15 / Net 30 / Net 60 payment terms.

4. Merchant Responsibilities & Tax/Credit Verification

Merchants are solely responsible for verifying the validity of buyer Tax IDs, VAT numbers, resale certificates, and creditworthiness prior to approving B2B applications or converting quotes into Net Terms Draft Orders. The App provides workflow automation tools and does not act as a credit underwriter, tax advisor, or financial guarantor.

5. Limitation of Liability & Warranty Disclaimer

THE APP IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE DEVELOPERS OF B2B WHOLESALE & NET TERMS ENGINE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR EXEMPLARY DAMAGES, INCLUDING LOST WHOLESALE REVENUE, UNPAID BUYER NET TERMS INVOICES, OR PRICING CONFIGURATION ERRORS, EXCEEDING THE TOTAL SUBSCRIPTION FEES PAID BY THE MERCHANT IN THE THREE (3) MONTHS PRECEDING THE CLAIM.
